Mortgage Banking Transactions
Members of the Firm’s Transactions Department have assisted many of the largest residential mortgage companies and institutional lenders in the United States in connection with mortgage banking transactions. Transactional lawyers at the Firm also have significant experience in commercial and multifamily lending. Specific transactional services provided for mortgage banking clients include:
- The drafting/revision of seller guides, broker guides, servicing guides, underwriting manuals, and/or loan policy manuals (and related contracts and forms) for major mortgage lenders and banks, including a number of the largest mortgage lenders in the country;
- The drafting/revision of standard form correspondent agreements and broker agreements for mortgage companies;
- The review, drafting and/or negotiation of agreements for the sale of servicing portfolios and whole loan portfolios;
- The representation of buyers and sellers in connection with the sale of substantially all of the assets of several mortgage companies;
- Providing legal assistance to a major mortgage company in connection with the development and implementation of a warehouse lending program, as well as the representation of borrowers under warehouse lines of credit and loan repurchase facilities;
- Providing assistance to national mortgage lenders in: reviewing policies and practices involving bailee letters and interactions with warehouse lenders, and in implementing new policies and practices;
- Serving as local counsel for lenders requiring transactional and regulatory compliance assistance with residential and commercial real estate transactions in Maryland, Virginia, and the District of Columbia;
- The representation of a mortgage document preparation company in many aspects of its business, including various issues involving electronic commerce;
- The representation of two Federal Home Loan Banks in connection with pilot residential, commercial and/or multifamily loan purchase or participation interest purchase programs, and the drafting of standard form mortgage loan (or participation interest) purchase and servicing agreements (and related documents) in connection with such programs; and
- The successful negotiation of the settlement of several significant mortgage loan repurchase/indemnification disputes.
