Outsourcing Transactions
Attorneys in the Firm’s Transactions Department have represented mortgage companies, banks, technology companies, and others in the negotiation of outsourcing contracts, representing both the providers and consumers of outsourced services in complex contract negotiations. Specific services provided to outsourcing clients include:
- The review, negotiation, and/or drafting of technology outsourcing contracts (and related service level agreements) on behalf of mortgage companies, banks, technology companies, and other businesses;
- The review, negotiation, and implementation of the contracts required for a Federal Home Loan Bank to outsource the information technology services required to enable the Bank to conduct business online with its more than 300 member banks;
- The review, negotiation, and drafting of the contracts required for a schoolbook distribution company to outsource substantially all of its warehousing and order fulfillment functions; and
- The review, negotiation, and revision of all information technology contracts required to establish an online bank.
